1. Description of Services

EasyFormX provides document filing and business support services to help non-U.S. founders and international entrepreneurs form Limited Liability Companies (LLCs) in the United States. Our services include, but are not limited to:

  • State LLC formation filings (e.g., Wyoming, Texas)
  • Employer Identification Number (EIN) and ITIN application assistance
  • Registered Agent services
  • Virtual mailing/business address setup
  • Business bank account setup assistance
  • Ongoing compliance (BOI reporting, annual reports)

Not a Law Firm: EasyFormX is a document filing service and business consultancy. We are not a law firm, nor are we a substitute for an attorney or certified public accountant. The information and services provided by EasyFormX do not constitute legal, financial, or tax advice.

2. User Responsibilities and Accuracy of Information

To fulfill our services, we require specific personal and business information from you. By using our services, you agree that:

  • All information you provide (including identification documents, addresses, and business details) is strictly true, accurate, current, and complete.
  • You are responsible for ensuring that your chosen business name does not infringe on existing trademarks.
  • EasyFormX is not liable for any rejected applications, delays, or penalties from state governments or the IRS resulting from inaccurate, incomplete, or false information provided by you.

3. Pricing, Payments, and State Fees

  • Pricing Structure: Our service fees are displayed on our website (e.g., $297 for formation packages). In addition to our service fees, you are responsible for paying all applicable State filing fees (e.g., $105 for Wyoming, $300 for Texas), which are collected at checkout.
  • Payment Processing: All payments are processed securely through our third-party payment processor, Stripe. We do not store your full credit card information on our servers.
  • Ongoing Subscriptions: Certain services, such as Registered Agent services and Virtual Mailing Addresses, are provided on an annual subscription basis. You will be billed annually for these services unless canceled prior to the renewal date.

4. Refund Policy

  • Pre-Filing: If you request a cancellation before we have submitted your documents to the state or the IRS, we may issue a refund minus a processing fee for work already performed.
  • Post-Filing: Once your LLC formation documents, EIN application, or any other government filings have been submitted to the respective state agencies or the IRS, we cannot issue a refund. State fees are strictly non-refundable by the state.

5. Third-Party Services and Bank Account Assistance

  • Banking: EasyFormX provides assistance and guidance to help you open a U.S. business bank account. However, final approval is solely at the discretion of the banking institution. We do not guarantee that your application will be approved by the bank.
  • Registered Agents: We partner with third-party registered agent services to fulfill state requirements. By using our service, you agree to their respective terms of service regarding the handling of legal mail and compliance notices.

6. Compliance and Deadlines

While EasyFormX may offer ongoing compliance services (such as BOI report filing and annual report reminders), you are ultimately responsible for maintaining your company’s good standing. It is your responsibility to ensure all state and federal deadlines, taxes, and reporting requirements are met on time.

7. Limitation of Liability

To the maximum extent permitted by applicable law, EasyFormX, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the services.
  • Any conduct or content of any third party on the services.
  • Errors, mistakes, or inaccuracies in state or IRS filings resulting from user-provided data.

8. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will indicate changes by updating the “Effective Date” at the top of this page. Your continued use of the website and services after any such changes constitutes your acceptance of the new Terms.
