Yes. The state formation filing is handled remotely. Texas expressly permits non-resident ownership and Wyoming offers online formation through an organizer. You still need a registered agent in the state. Banking, tax and licensing have their own rules.
Not always. An EIN application can follow the IRS's non-SSN route when the responsible party has no SSN or ITIN and is not eligible for one. We review your situation rather than requiring an ITIN for every formation.
Start with where the business will operate. Wyoming may suit a remote founder with no specific US operating state. Texas may fit a real Texas operation. Forming in Wyoming does not remove possible Texas obligations. Use the free check before deciding.
You need a registered agent with a physical office in the formation state, which is included for the first year. A registered-agent address is not automatically your operating address or acceptable for banking. We explain the difference before you choose an address service.
Not completely. Wyoming's standard Articles do not ask for member or manager names, but other filing information is public, registered agents keep company records, and financial providers check identity and ownership.
It can. Texas formation documents identify the initial managers, or the members when there are no managers. The annual Public Information Report also discloses governing persons.
Our preparation target is a few business days after we receive everything needed. State review and EIN processing are separate. Wyoming's eligible online filings can become active immediately; Texas timing depends on the filing route. We confirm the current estimate before submission.
No. Tax depends on ownership, tax classification, income and activity. Even when no income tax is due, information returns such as Form 5472 may still be required. Ask for a tax review before relying on a "tax-free LLC" claim.

A limited liability company (LLC) is a company formed under state law. We focus on two clear options: Wyoming for founders running a remote business, and Texas for founders building a real Texas operation. If your plans need another state or entity type, we tell you before you proceed.
The state filing is the legal start of your LLC. It does not issue an EIN, open a bank account or settle your tax position.
EIN, banking, payments, licences and annual filings each have their own requirements. We show them one at a time.
We start with where you will work, sell, hire and keep stock. Then we help you compare the two states.
